Overview

eco3P.com is a online marketplace where members can buy and sell products and services autonomously. Registration is not required to buy on eco3P.com but in order to sell on eco3P.com you must register and agree to eco3P.com's Terms and Conditions. The Terms and Conditions come into effect when the registrant checks on the "I agree" box during the registration process.  The Terms and Conditions cover the contractual relationship between eco3P and members of eco3P.com who use the services of eco3P.

eco3P.com may change these Terms and Conditions from time to time. Changes to the terms and conditions will be effective when you next access the eco3P.com website after they are posted, or 30 days from the date they are posted, whichever is earlier.

All users of eco3P.com must agree to comply with all applicable laws of commerce and shale be held soley liable for infringement of these laws.  eco3P.com will cooperate fully with any request from an appropriate law enforcement agency for information regarding the violation of any law by a member.  All members are responsible for any and all conduct and activity that pertains to posting on eco3P.com. This includes images, copy, text, data, graphics, usernames, email addresses, photographs, profiles, avatars, banners, videos, items, links, products, and the such that are posted to and displayed on eco3P.com.

eco3P.com has the right to manage the eco3P.com website and services in the way that it deems to be beneficial for its success. You agree that not every circumstance can be anticipated and that eco3P.com can use its best judgment in managing the eco3P.com web site and service. You agree that common sense plays an important part of any service of this type, and also that business judgment is important to achieving success.

By using the eco3P.com website you agree to be bound by the following Terms and Conditions:

1. Membership Eligibility and Registration

Our services are available to, and may only be used by individuals who can form legally binding contracts under applicable law.  In order to buy or sell on eco3P.com, you must be of 18 years of age or older.  Users who are under 18 years of age can participate if they are supervised by a parent or legal guardian over the age of 18.  In this case the parent or legal guardian assumes all responsibility of all the activities carried out by the user.  If you represent a business entity, you represent that you have the authority to bind the entity to these Terms & Conditions.

As a member of eco3P.com, you will provide eco3p.com with true and accurate information.  You will also be solely responsible for the safe keeping of your account details and password.  eco3P.com reserves the right to delete accounts that have not completed the registration process.

As a member of eco3P.com, you shall not act in the manner that hinders or prohibits eco3p.com from conducting business or damages the integrity of the marketplace.  All members agree to act accordingly with local, national, and international laws regarding acceptable content, commerce, and conduct.

Any violation or breach of the Terms and Conditions or if we believe that your actions may cause us our members, and/or shoppers financial loss or legal liability, eco3P.com may take the following actions without notice to you i) Remove/delete you, your listing, and/or content; ii) Limit your use at eco3P.com; iii) Block you from using eco3P.com.

If you provide false information, misrepresent yourself and or others, transfer your account to a third party, damage other members or eco3P.com, or receive constant complaints by users, eco3P.com reserves the right to irrevocably suspend your account.

2. Transacting on eco3P.com

eco3P.com is not directly involved with any transaction or associated agreements made between parties who engage in the buying and/or selling of goods on the site.  eco3P.com accepts no responsibility, nor shall be held liable for the transactions that occur as a result of usage of the website.

As a buyer of a product listed by a seller on eco3P.com, you, the buyer, have a legal obligation to complete the transaction with the seller.  The sale contract is formed when you click on the "Buy" button during the checkout process.  Afte the purchase has been made you will receive a confirmation email about your purchase.  You are obligated to complete the transaction with the seller within 5 business days after the confirmation of your purchase by the seller.  Purchases are only retractable in exceptional circumstances such as when the seller materially changes the item description after a purchase has been made, if there is a clear typographical error in the listing, or you can authenticate the seller's identity.

As a seller of a product on eco3P.com, you agree that the information provided by you shall be true, accurate, and complete.   All information related to payment, delivery and delivery time must be complete. As a business person offering goods and services to consumers you are obligated to give all necessary information regarding consumer protection as required by law and to detail legal disclaimer rights if required by law. You, as a member of eco3P.com, are obliged to update this data as necessary and to always provide up to date information.  When you, the seller, lists an item(s), the listed item(s) represents a binding offer at the set price to other users who comply with the conditions specified in the offer. Items shall be listed in the appropriate category and/or subcategory.  The items terms of sale must be described in text and to the fullest so that users understand what they will be purchasing.  Images for your listing will represent the item that is being sold.

You, as a seller, are responsible for ensuring that you have the right to use all content on your listing and that eco3P.com has the right to host it on our servers.  eco3P.com also has the right to use any images, graphics, text on their servers for promotional/marketing purposes.  All content may only refer to the offer listed and sellers may not adverstise goods not listed on eco3P.com.

Listed items represent a binding offer at the set price to their users who comply with the conditions specified in the offer.  The contract of purchase is formed when a user complies with the conditions specified in the offer and clicks the "buy" button during the checkout process.  Both parties are expected to fulfil the arrangement for the sale of good and/or services.  eco3P.com does not represent either party.

Users who engage in the buying and/or selling at eco3P.com should be aware and assume all risk of using a website or the internet to commence transactions.  Users of eco3P.com should be aware of other users operating under false pretence, misrepresentation, and with the intent to commit fraud.

eco3P.com will never ask you for your personal financial information such as your credit card or bank information.
eco3P.com has no obligation to mitigate or resolve disputes and will be considered free of any and all claims, damages, or demands created by any disputes that result between a buyer and a seller.   eco3P.com tries to maintain a safe trading environment and encourages for buyers and sellers to resolve disputes amongst themselves.  eco3P.com also encourages the proper local, national, or international authorities to assist iin dispute resolution.

3. Fees

Registering as a seller on eco3P.com is free.  eco3P does not charge fees for setting up a shop or buying items.  eco3P.com does not charge a fee to list items nor does eco3P.com enforce a commission fee for an item that is sold on eco3P.com

eco3P.com does charge a fee for premium features.  These fees are due at the point of purchase.  eco3P.com has the right to change their fee policy at any time, and any change will be effective after 1 month following the date of annoucnement which will be done through email.
4. Disclaimer & Limitation:

eco3P.com is providing this site and its contenst on an "as is" basis and makes no representations or warranties of any kind with respect to this site or its contents.  eco3P.com disclaimes all such representations and warranties, including for example warranties of merchantability and fitness for a particular purpose.  In addition eco3P.com does not represent or warrant that the information accessible through eco3P.com is accurate, complete, or current.  You agree to hold us harmless and to waive any claims you may have against us relating to any products and services you receive from us, to the maximum extent permitted by law.

Also, neither eco3P.com, nor any of its directors, employees, or other representatives will be liable for damages arising out of or in connection with the use of this site.  This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect or consequential damages, loss of data, income or profit, loss of or damage to property and claims of third parties. This limitation also includes your right to collect penalties or fees where we may have been in error, unless such error was malicious or intentional.

eco3p does not guarantee continuous, uninterrupted access to the site, and operation of the site may be interfered with by numerous factors outside eco3p's control.

5. Litigation

By accessing this site and using any of its features other than this page, you expressly agree that venue shall be the Province of Ontario and in the Municipality of Peel and that Canadian Law shall apply in all cases and for all disputes of every nature that have arisen or may arise between us. You expressly waive all arguments of jurisdictional diversity. Any legal actions prosecuted or instituted by you or eco3P.comm, shall only be brought in a Canadian court and each party hereby consents to the jurisdiction and venue of such courts for all such purposes. eco3P.com shall be entitled to full recovery of its attorney's fees and costs in the event that it shall prevail in any legal action, including efforts to collect amounts due from you. By using this site, you waive any right you may have to collect attorney's fees, penalties, or fines to the maximum extent permitted by law for you to waive such rights. Any failure to enforce any rights under this agreement shall not be deemed to be a waiver.

6. Intellectual Property

Any and all data aforementioned is copyrighted and may not be used without the express written permission of eco3P.com or its officers, manager's agents and/or staff.
Any and all content uploaded to the site including text, descriptions, images, reviews, posts, and articles retains the original copyright of the owner/creator. By accessing the site and uploading content the creator agrees to grant worldwide non-exclusive right to republish said content for the purposes of promoting or providing benefit to the web community and properties of eco3P.com.

7. Notices

Any notices shall be given by postal mail to eco3P Attn: Legal; 522 Ray Lawson Blvd, Brampton, Ontario, Canada L6Y 3S8 (in the case of eco3P) or, in your case, to the email address you provide to eco3P (either during the registration process or when your email address changes). Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, eco3P may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to eco3P In such case, notice shall be deemed given three days after the date of mailing.
